Thales to acquire RTX’s stake in air and missile defence joint venture TRS AMDC2

By Defence Industry Europe

Thales has entered advanced discussions to acquire RTX’s stake in the French joint-venture company Thales Raytheon Systems Air and Missile Defense Command and Control SAS (TRS AMDC2). A Memorandum of Understanding (MoU) has been signed to this effect between Thales and RTX, whose respective affiliates currently hold equal shares in the joint venture.

TRS AMDC2 has been a key player in the development of NATO’s Air Command and Control System (ACCS) for more than two decades. The system serves NATO nations and its command structure, playing a critical role in coordinating air and missile defence operations.

Thales stated that “employee representative organisations will be consulted” regarding the proposed acquisition. The transaction is expected to be completed by the end of 2025, subject to antitrust approval and the necessary regulatory clearances.

Thales, listed on Euronext Paris under the ticker HO, is a global leader in advanced Defence, Aerospace, and Cyber & Digital technologies. In 2024, the company reported sales of €20.6 billion and employed over 83,000 people across 68 countries.
