Boeing sells parts of digital aviation business to Thoma Bravo for USD 10.55 billion

Boeing has announced a definitive agreement to sell parts of its Digital Aviation Solutions business to software investment firm Thoma Bravo in an all-cash deal valued at USD 10.55 billion. The transaction includes key assets such as Jeppesen, ForeFlight, AerData and OzRunways.

 

The aerospace giant will retain core digital capabilities that support fleet maintenance, diagnostics and repair services for both commercial and defence customers. These retained functions will continue to deliver predictive and prognostic maintenance insights.

“This transaction is an important component of our strategy to focus on core businesses, supplement the balance sheet and prioritise the investment grade credit rating,” said Kelly Ortberg, Boeing president and chief executive officer. Boeing emphasised that this step aligns with its strategic efforts to strengthen financial resilience.

 

 

Chris Raymond, president and chief executive officer of Boeing Global Services, stated: “This enables all parts of the digital portfolio to focus on their strengths.” He added, “Our commitment to meeting our customers’ needs is unwavering as we move forward with our core products and services to support their fleets.”

Thoma Bravo expressed strong confidence in the acquisition, highlighting the legacy and innovation of the assets being acquired. “We are proud to be investing in such an important technology platform in the broader aerospace and defence industry,” said Holden Spaht, a Managing Partner at Thoma Bravo.

“With a heritage dating back to the 1930s, Jeppesen has been at the forefront of technological innovation for nearly a century,” Spaht added. “We are excited to build on this track record and power its next phase of growth.”

 

 

Scott Crabill, also a Managing Partner at Thoma Bravo, praised the recent development of the business. “The business has been through an impressive growth transformation in recent years and has strong momentum,” he said.

Approximately 3,900 employees work within Boeing’s Digital Aviation Solutions unit, which includes both the assets being sold and those remaining with Boeing. Boeing is working closely with Thoma Bravo to ensure a smooth transition for employees and continuity for customers.
