KNDS France to acquire Texelis’ defence business in strategic deal

French defence company KNDS France has signed a Memorandum of Understanding (MoU) with Texelis to acquire its Defence business. The agreement initiates exclusive negotiations, with the transaction expected to be completed by the end of 2025.

 

As part of the deal, Texelis will be divided into two separate entities: Texelis DĂ©fense and Texelis Transport. KNDS France will take over the Defence business, while the Transport division will continue operating independently under its current management and investors.

The acquisition process includes consultations with employee representative bodies, which will take place in the coming days. The completion of the deal is subject to final agreements and regulatory approvals.

 




 

Texelis is a key supplier of mobility solutions for armoured land vehicles and plays a major role in the French defence industry. It has been a long-standing partner of KNDS France, contributing to the SERVAL programme and developing advanced 4Ă—4, 6Ă—6, and 8Ă—8 vehicle mobility systems.

The company is also known for its innovations in hybridisation and energy management technologies for military applications. Texelis employs 350 people and recorded sales of approximately €110 million in 2023.

KNDS France CEO Nicolas Chamussy stated that the acquisition would strengthen the company’s mobility expertise and reinforce its collaboration with Texelis. Texelis Chairman Charles-Antoine de Barbuat highlighted that the deal would create new growth opportunities for the Defence business while allowing the Transport division to continue its independent expansion.
